1. Agreement to Terms

By accessing or using Factory ("the Service"), operated by Superposition Labs Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Factory is an AI-powered video creation platform that enables users to generate short-form videos using advanced artificial intelligence models including Veo 3.1, Kling 2.5 Pro, Wan 2.5 and others. The Service includes video ideation, creation, management, and related features.

3. User Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account password and for any activities or actions under your account. You agree not to disclose your password to any third party and to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.

4. User Content and Intellectual Property

4.1 Your Content

You retain ownership of any content you submit to the Service, including text prompts, ideas, and source materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

4.2 Generated Videos

Videos generated through the Service using AI models are subject to the terms and conditions of the respective AI model providers. You are responsible for ensuring your use of generated videos complies with all applicable laws and third-party terms.

4.3 Prohibited Content

You may not use the Service to create, upload, or distribute content that:

• Violates any law or regulation
• Infringes intellectual property rights
• Contains malware or harmful code
• Is defamatory, obscene, or offensive
• Promotes violence or discrimination
• Impersonates another person or entity

5. Credits and Payment

5.1 Credit System

The Service operates on a credit-based system. Different actions (video generation, prompt optimization, etc.) consume varying amounts of credits.

5.2 Pricing

We reserve the right to modify our pricing at any time. Changes to pricing will be communicated to users in advance.

5.3 Refunds

Credits are generally non-refundable except as required by law or at our sole discretion.

5.4 Payment Processing

Payments are processed through third-party payment processors (Stripe for international users, YooKassa for users in Russia). You agree to comply with their respective terms and conditions.

5.5 Subscriptions and Automatic Payments

When you subscribe to a paid plan, you authorize us to charge your payment method automatically on a recurring basis (monthly or as specified) until you cancel your subscription.

• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current subscription price.
• Payment Method Storage: By subscribing, you consent to the storage of your payment method details for automatic renewal charges.
• Billing Date: You will be charged on the same calendar day each month as your initial subscription date, or the last day of the month if that day doesn't exist.
• Failed Payments: If a payment fails, we may retry the charge and/or downgrade your account to the free tier after reasonable attempts.
• Price Changes: We will notify you in advance of any price changes. Continued use after notification constitutes acceptance of new pricing.

5.6 Subscription Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period.
• No further automatic charges will be made.
• You will retain access to subscription features until the billing period ends.
• After cancellation takes effect, your account will revert to the free tier.

To disable automatic payments: Navigate to your Profile → Billing section and click "Cancel Subscription". Alternatively, contact support at support@superposition.to.

6. Service Availability and Modifications

6.1 Service Availability

We strive to provide reliable Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control.

6.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

7. Third-Party Services

The Service integrates with third-party AI model providers (OpenAI, Google, Kling) and other services. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or reliability of third-party services.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUPERPOSITION LABS INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

8.3 AI-Generated Content

AI-generated videos may contain errors, inaccuracies, or unintended content. You are solely responsible for reviewing and validating all generated content before use.

9. Indemnification

You agree to indemnify, defend, and hold harmless Superposition Labs Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Vancouver, British Columbia, Canada, except that either party may seek injunctive relief in court.

11. General Provisions

11.1 Entire Agreement

These Terms constitute the entire agreement between you and Superposition Labs Inc. regarding the Service.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

11.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

13. Open-Source Credits

The Service incorporates the following open-source projects:

• awesome-seedance-2-prompts by YouMind OpenLab — a curated prompt library for Seedance 2.0 video generation.
